1. Overview

This Client Service Agreement is entered into between Social By Design Agency (“Agency,” “we,” “us,” or “our”) and the client completing purchase through Stripe (“Client,” “you,” or “your”).

Social By Design Agency provides social media content support, visibility systems, and related marketing services for service-based businesses. By completing purchase, the Client confirms they have reviewed and agree to the terms of this Agreement.

2. Acceptance of Agreement

By completing purchase through Stripe, checking the required agreement box, and submitting payment, the Client agrees to be bound by this Agreement. No separate handwritten or electronic signature is required.

3. Scope of Services

The Agency will provide services based on the plan selected at purchase. Services may include, depending on the selected plan:

  • Social media content creation
  • Caption writing
  • Graphic or post design
  • Scheduling and publishing support
  • Job photo or content harvesting support
  • Seasonal campaign content
  • Google review or reputation support
  • Use of automation, AI-assisted tools, and third-party publishing platforms

Services are provided according to the selected package and are designed to create a consistent, professional, and trust-building online presence.

Any services outside the selected plan may require additional fees or a separate written agreement.

4. Client Responsibilities

The Client agrees to:

  • Provide accurate business information
  • Provide access to required social media accounts or publishing platforms
  • Submit photos, videos, brand assets, or requested content in a timely manner
  • Review and respond to Agency requests when needed
  • Ensure all submitted materials are owned by the Client or properly licensed for use

The Agency is not responsible for delays, missed posting opportunities, or reduced service output caused by missing materials, lack of access, or delayed Client communication.

5. Monthly Billing and Minimum Commitment

Services are billed monthly through Stripe according to the plan selected at purchase.

The Client agrees to a minimum commitment of three months unless otherwise stated in writing.

After the initial three-month commitment, services continue on a month-to-month basis until canceled according to the cancellation terms below.

6. Payment Terms

Payment is due at the time of purchase and automatically renews each month through Stripe.

If payment fails, services may be paused until payment is successfully processed. The Agency reserves the right to cancel service for non-payment.

All fees are non-refundable once payment has been processed, except where required by law.

7. Cancellation Policy

The Client may cancel after the initial three-month commitment has been completed.

Cancellation must be submitted in writing at least seven days before the next billing date.

Cancellations submitted fewer than seven days before the next billing date may result in one final monthly charge.

No partial-month refunds are provided.

8. No Performance Guarantees

The Agency’s services are designed to improve consistency, visibility, credibility, and trust through social media and related marketing support.

The Agency does not guarantee:

  • Specific revenue results
  • A specific number of leads
  • A specific number of followers
  • Viral content
  • Specific engagement rates
  • Specific search ranking or algorithm performance

Marketing results depend on many factors outside the Agency’s control, including market conditions, Client reputation, service quality, responsiveness, competition, platform algorithms, and audience behavior.

9. Content Approval and Creative Discretion

The Agency may use a standardized content system to efficiently create and publish content.

The Client understands that the Agency may make reasonable creative decisions regarding captions, post structure, visuals, scheduling, and content formatting based on the selected plan and available materials.

If the Client requests revisions outside the standard scope of the selected plan, additional fees may apply.

10. Use of AI and Third-Party Tools

The Client understands that the Agency may use automation, AI-assisted tools, scheduling platforms, design tools, analytics tools, and other third-party services to support content creation and publishing.

The Agency is not responsible for outages, errors, delays, account restrictions, algorithm changes, or service interruptions caused by third-party platforms including, but not limited to, Instagram, Facebook, LinkedIn, Google, Stripe, or social media scheduling platforms.

11. Content Ownership and Usage Rights

The Client may use final content created by the Agency for their own business marketing purposes.

The Agency retains the right to use completed work, screenshots, examples, or results for portfolio, case study, marketing, and promotional purposes unless the Client requests otherwise in writing.

The Client confirms that any photos, videos, logos, trademarks, brand assets, testimonials, or other materials submitted to the Agency are owned by the Client or legally authorized for use.

12. Client-Submitted Materials

The Client is solely responsible for ensuring that submitted materials do not violate copyright, trademark, privacy, confidentiality, advertising, or other applicable laws.

The Agency is not responsible for claims arising from materials provided by the Client.

13. Platform Access and Account Security

The Client may be required to provide access to social media accounts, Google Business Profile, scheduling platforms, or other tools needed to perform services.

The Client is responsible for maintaining account ownership, passwords, permissions, and security.

The Agency will take reasonable care when accessing Client accounts but is not liable for platform lockouts, security restrictions, password changes, account suspensions, or access issues outside the Agency’s control.

14. Confidentiality

Both parties agree to keep confidential information private and not disclose it to outside parties except as needed to perform services or as required by law.

Confidential information may include login information, business plans, customer information, pricing, internal processes, and unpublished materials.

15. Limitation of Liability

To the fullest extent permitted by law, the Agency shall not be liable for indirect, incidental, special, consequential, or punitive damages.

The Agency’s total liability under this Agreement shall not exceed the amount paid by the Client in the previous 30 days.

16. Termination by Agency

The Agency may terminate services if:

  • Payment is not received
  • The Client violates this Agreement
  • The Client is abusive, threatening, or uncooperative
  • Required access or materials are not provided
  • Continuing the relationship is no longer a good fit for the Agency

If the Agency terminates service due to Client breach or non-payment, no refund is owed.

17. Governing Law

This Agreement shall be governed by the laws of the State of California, without regard to conflict of law principles.

18. Updates to This Agreement

The Agency may update this Agreement from time to time. The version posted on this page at the time of purchase applies to the Client’s purchase unless otherwise agreed in writing.
